“Please create an environment where all five NewJeans members can gather and freely pursue their dreams.”

Min Hee-jin, former CEO of ADOR and current CEO of OK Records, has offered to waive her ₩25.6 billion put option with HYBE, on the condition that the girl group NewJeans maintains its five-member lineup.

On February 25th, Min Hee-jin held a press conference at the Kyowon Challenge Hall in Jongno-gu, Seoul, to discuss the results of her first instance victory in the lawsuit against HYBE regarding the stock purchase price claim related to the exercise of the ₩25.5 billion put option and the confirmation of the termination of the shareholders’ agreement, and to outline her future plans. Originally scheduled to begin at 1:45 PM, Min Hee-jin arrived at 1:51 PM, six minutes late.

That day, Min Hee-jin hurriedly ascended the podium, out of breath. “I walked because I went into the building next door,” said Min Hee-jin. “I think you all came expecting me to freestyle, but what I have to say today is very important, so I will read it and explain it. Please listen carefully.” She then opened her laptop and began reading from the prepared manuscript.

First, she mentioned the recent first instance victory in the legal dispute with HYBE. I propose that in exchange for giving up the ₩25.6 billion, all ongoing civil and criminal lawsuits be stopped immediately and all disputes be ended.” This proposal includes not only Min Hee-jin personally, but also the NewJeans members, external partner companies, former ADOR employees, and even the termination of all accusations and complaints against the fandom involved in this fight. Min Hee-jin explained that the most urgent reason for making this decision is “because of the NewJeans members.”

Min Hee-jin then expressed her support for the five-member NewJeans lineup. Previously, NewJeans lost the first instance trial to confirm the validity of their exclusive contract with ADOR in October of last year, and all members conveyed their intention to return to ADOR without appealing. However, ADOR notified Daniel of the termination of his exclusive contract in December of the same year, and then filed a lawsuit seeking ₩43.1 billion in damages against Daniel, one member of his family, and Min Hee-jin.

In response, Min Hee-jin stated, “I can no longer watch the reality where five members, who should be happily on stage, have to have someone on stage and someone in court. The members on stage will also be in pain, and no one, including the fans watching this, will be happy to see this situation.” She added, “Please create an environment where all five NewJeans members can gather and freely pursue their dreams.”

On the 12th, the 31st Civil Division of the Seoul Central District Court (Chief Judge Nam In-soo) held the date for the sentencing of the lawsuit filed by HYBE against former ADOR CEO Min Hee-jin to confirm the termination of the shareholders’ agreement and the lawsuit filed by former CEO Min Hee-jin against HYBE regarding the stock purchase price claim related to the exercise of the put option. At the time, the court ruled in favor of Min Hee-jin, stating, “HYBE’s claim is dismissed, and HYBE will bear the litigation costs. Also, Min Hee-jin’s exercise of the put option is justified, and an amount of approximately ₩25.5 billion must be paid.”

However, on the same day, HYBE immediately stated, “We are disappointed that our claims were not sufficiently accepted. We will review the judgment and proceed with future legal procedures such as appeals.”

Afterwards, Min Hee-jin applied for the seizure of HYBE’s bank account in accordance with the court’s ruling, but it was not accepted. The court granted HYBE’s application for a stay of execution.

The first instance court also adopted the messenger conversation between Min Hee-jin and BTS member V as legal evidence, which became a hot topic.
