Hanwha Corp., the pivotal holding company of South Korea’s seventh-largest conglomerate, Hanwha Group, has successfully secured shareholder approval for a significant corporate split. This strategic move aims to effectively separate its core defense, shipbuilding, energy, and financial operations from its machinery and lifestyle businesses, marking a new era for the diversified group.
This comprehensive business restructuring, creating two distinct entities, is poised to grant the group’s third-generation heirs more defined control over their respective business areas. Concurrently, it is expected to further solidify the position of Vice Chair Kim Dong-kwan, the eldest son of Hanwha Group Chairman Kim Seung-youn, as the likely successor to lead the expansive conglomerate.
The proposal received overwhelming support, approved by an impressive 99.9 percent of the shares represented at an extraordinary shareholders’ meeting convened in Seoul. This decisive shareholder vote follows the Hanwha board’s initial endorsement of the spinoff plan earlier in January.
Under the terms of this ambitious plan, the existing Hanwha Corp. will continue as the group’s central holding entity, overseeing its foundational defense, shipbuilding, energy, and financial businesses. Its major affiliates will encompass shipbuilding and defense operations steered by Kim Dong-kwan, including prominent entities like Hanwha Aerospace, Hanwha Ocean, and Hanwha Solutions. Additionally, financial units, notably Hanwha Life Insurance, led by second son Kim Dong-won, will remain integral to this core structure.
A newly established company, named Hanwha Machinery & Service Holdings, is set to manage the group’s diversified machinery, advanced technology, and growing lifestyle affiliates. This portfolio includes well-known brands such as Hanwha Vision, Hanwha Hotel & Resort, Hanwha Galleria, Hanwha Momentum, Hanwha Robotics, and the food service operator Ourhome. These dynamic businesses will be under the strategic leadership of Kim Dong-seon, the youngest son, outlining a clear operational scope for the new entity.
The meticulously structured spin-off ensures that existing Hanwha shareholders will receive shares in both the ongoing Hanwha Corp. and the newly formed Hanwha Machinery & Service Holdings.
The precise split ratio has been determined at 0.7563533 for the existing company and 0.2436467 for the new entity, based on their respective book values of net assets. This means if a shareholder holds 100 Hanwha Corp. shares before the split, they will subsequently hold approximately 76 shares in the original company and 24 shares in the newly established entity after the restructuring.
The official implementation of this strategic split is scheduled to take effect on August 1. Following this, the companies plan to hold a board meeting on August 3, leading to the pivotal relisting of the existing Hanwha Corp. and the initial public listing of the new company on August 25.
Industry observers widely anticipate that this significant corporate reorganization will streamline Hanwha’s extensive and diverse business portfolio, providing the three brothers with more clearly defined areas of operational responsibility, which is expected to foster enhanced focus and efficiency.

He further emphasized, “By laying the groundwork for more precise evaluation of each business’s intrinsic value and formidable growth potential, our overarching objective is to substantially enhance the company’s long-term corporate standing and ultimately maximize shareholder value.”
