Landmark Korean Air-Asiana Airlines Merger Approved: Paving the Way for a Unified Carrier

In a significant development for the South Korean aviation sector, Korean Air and Asiana Airlines officially approved their long-anticipated merger on Wednesday. This landmark decision sets the stage for the creation of a new, integrated Korean Air, scheduled to launch on December 17.

This pivotal agreement arrives approximately five and a half years after Korean Air initially declared its intent to acquire Asiana Airlines. Both carriers have confirmed they will finalize and sign the official merger contract on Thursday.

The agreed merger terms stipulate that Korean Air will comprehensively assume all of Asiana Airlines’ assets, liabilities, rights, obligations, and its entire workforce. The definitive merger ratio has been established at 1 Korean Air share to 0.2736432 Asiana Airlines shares. Following this significant transaction, Korean Air’s capital is projected to increase by approximately 101.7 billion won (equivalent to $68.3 million).

Upon the formal signing of the contract on Thursday, Korean Air has announced its intention to submit the official merger application to South Korea’s Ministry of Land, Infrastructure and Transport. Subsequently, in June, the airline plans to file for operations specifications amendments, aiming to standardize all Asiana Airlines aircraft and safety systems under Korean Air’s current air operator certificate.

Following the acquisition of necessary domestic approvals, Korean Air intends to move forward with regulatory filings with international aviation authorities. This crucial step aims to fully align safety management systems and operational protocols across the integrated entity.

As part of the procedural timeline, Asiana Airlines is scheduled to convene a temporary shareholders’ meeting in August to formally approve the comprehensive merger plan. Concurrently, Korean Air is slated to hold a board meeting on the very same day to endorse the agenda.

Post-merger, Hanjin KAL, which currently stands as Korean Air’s largest shareholder with a 26.13 percent stake, will experience a slight adjustment, with its stake decreasing to 24.76 percent. Despite this, no significant alterations in the overall shareholder distribution are anticipated.

Korean Air has consistently emphasized that the successful launch of this integrated airline is poised to significantly strengthen South Korea’s national aviation industry. Furthermore, it is expected to bolster Incheon Airport’s pivotal role as a leading global aviation hub and generate substantial synergy in expanding worldwide aviation networks.
