Mega MGC Coffee, the popular South Korean budget coffee chain known for its yellow branding and expansive network of nearly 4,000 stores, is reportedly bidding for Homeplus Express, the supermarket arm of the financially troubled Homeplus. This move signals a potential strategic shift for the coffee franchise, extending its reach beyond the cafe market.

Industry sources revealed on Wednesday that MGC Global, the parent company of Mega MGC Coffee, submitted a letter of intent to acquire Homeplus Express by Tuesday’s deadline, becoming one of the two potential buyers. MGC Global has not yet officially confirmed the submission.

Homeplus acknowledged receiving letters of intent from several companies, but refrained from disclosing specific details or bidder identities, citing ongoing discussions managed by its sales advisor. “Further submissions remain a possibility, depending on future developments,” the company stated.

The sale of Homeplus Express, a chain of neighborhood supermarkets considered Homeplus’s most valuable asset, is central to the retailer’s court-approved restructuring efforts, following unsuccessful attempts to sell the entire Homeplus business.

Homeplus Express operates 293 stores nationwide, generating approximately 1.1 trillion won ($730 million) in revenue in 2024. A significant 90% of these locations are situated in densely populated urban areas. The unit’s estimated market value has decreased to around 300 billion won, a significant drop from the nearly 1 trillion won valuation two years prior.

The potential acquisition has sparked considerable interest, particularly after Eugene Group conducted due diligence before ultimately withdrawing. Few expected a coffee chain to emerge as a leading contender.

“A supermarket acquisition is certainly unexpected,” commented an industry insider, suggesting the move could be driven by the desire to leverage Homeplus Express’s existing distribution network.

Industry analysts highlight the potential synergies in the quick-commerce sector. Approximately 80% of Homeplus Express stores are equipped for same-hour delivery, which could be integrated with Mega Coffee’s mobile app, allowing the coffee chain to expand its offerings beyond coffee to include ready-to-drink beverages and private-label food products.

Mega Coffee was established in 2010 and acquired by Wooyoon, a real estate leasing firm, and private equity firm Premier Partners for 140 billion won in 2021. Kim Dae-young, Chairman of Wooyoon and CEO of MGC Global, brings extensive experience in food distribution, having founded a food ingredient distribution company in 1993.

The outcome of the bidding process will significantly impact the future of Homeplus, which is currently facing liquidity challenges.

Homeplus’s financial stabilization plan hinges on securing 300 billion won from the Homeplus Express sale, alongside an equal amount in debtor-in-possession financing. However, major creditors have been hesitant to commit. MBK Partners, the largest shareholder of Homeplus, provided 100 billion won in emergency funding last month.

Samil PwC, the firm managing the sale, will collaborate with the Seoul Bankruptcy Court to select a preferred bidder. The chosen bidder will then undergo due diligence before a final contract is signed. The court has set a deadline of May 4 for approving Homeplus’s rehabilitation plan.
