Samsung SDS Secures $829M KKR Investment to Fuel AI Infrastructure and Global M&A

Samsung SDS, the prominent IT services division of South Korea’s Samsung Group, announced Wednesday a strategic move to issue 1.22 trillion won ($829 million) in convertible bonds to global investment firm KKR. This significant capital injection aims to bolster Samsung SDS’s ambitious expansion into artificial intelligence (AI) infrastructure and facilitate crucial overseas acquisitions, marking KKR’s role as an active minority investor.

The deal’s structure introduces distinctive terms, setting it apart in the market.

According to a recent regulatory filing, these convertible bonds are set to mature in April 2032 and feature a fixed conversion price of 180,000 won per share. This represents an 18 percent premium over Tuesday’s closing price. Notably, KKR has agreed to these terms without a refixing clause – a common provision in Korean convertible bond transactions that typically adjusts the conversion price downwards if the stock declines, offering investors more shares for their investment.

Further emphasizing the long-term commitment, the agreement includes no early-exit options for either party. Both the bonds and any shares converted from them will be subject to a stringent six-year lock-up period, demonstrating KKR’s dedication to the investment without a safety net, even if Samsung SDS’s stock performance underperforms.

Should KKR exercise its option to convert the bonds into equity, it would secure an approximate 8 percent stake in Samsung SDS. This would position KKR as the fourth-largest shareholder, following Samsung Electronics (22.6 percent), Samsung C&T (17.1 percent), and Samsung Group Chairman Lee Jae-yong (9.2 percent).

This landmark agreement has been under careful preparation for several months. At its annual shareholders meeting on March 18, Samsung SDS proactively increased its convertible bond issuance ceiling from 67 billion won to 1.5 trillion won, a prerequisite for the legal execution of Wednesday’s transaction. During that meeting, CEO Lee June-hee underscored 2026 as a pivotal year for AI and cloud technologies, highlighting that growth investments and strategic acquisitions would be top priorities for the company.

With Samsung SDS already holding 6.4 trillion won in cash, the proceeds from the KKR investment will elevate its total investment capacity to an impressive 7.6 trillion won. The company has concrete plans for two major AI data center projects: a national AI computing center slated for completion in 2028 in Haenam, South Jeolla Province, and another facility in Gumi, North Gyeongsang Province, scheduled for a year later. Beyond these internal projects, Samsung SDS is also expanding into the business of designing, building, and operating data centers for external clients.

Beyond the substantial capital infusion, KKR will also provide invaluable strategic advisory services for six years, specifically focusing on cross-border mergers and acquisitions (M&A). This partnership addresses a recognized gap within Samsung SDS; despite its considerable cash reserves, the company has historically approached large overseas acquisitions cautiously, lacking the extensive deal-making infrastructure that KKR brings to the table.

Independently, Samsung SDS has been actively strengthening its AI capabilities and credentials.

In October 2025, the company forged a comprehensive partnership with OpenAI, and by December, it became the first Korean entity to secure a ChatGPT Enterprise reseller agreement. This deal has enabled Samsung SDS to onboard clients across diverse sectors, ranging from food service to travel, showcasing its growing influence in the enterprise AI landscape.

“We are committed to leveraging KKR’s profound global capital markets expertise to aggressively pursue M&A opportunities and other strategic growth avenues,” stated CEO Lee, reinforcing the company’s forward-looking strategy.

The finalization of this significant transaction is anticipated in the second quarter. Following the announcement, Samsung SDS shares experienced a robust surge, climbing 20 percent in Wednesday morning trading.
